Welcome to Stellar X, LLC (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, services, and account creation process for scheduling pallet delivery services. By creating an account, submitting payment information, requesting delivery quotes, or using our services, you agree to be bound by these Terms. Please read them carefully.
 
1. Account Creation and Responsibilities

1.1 Eligibility: To create an account, you must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or your business. You agree to provide accurate, complete, and current information during account creation, including your name, contact details, billing address, and payment information.

1.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at contact@stellarxlogistics.com (562) 783-5527 if you suspect unauthorized use of your account.

1.3 Accurate Information: You agree to update your account information promptly if it changes (e.g., new payment method, updated contact details). We are not responsible for delays or issues caused by inaccurate or outdated information.


2. Delivery Services

2.1 Service Description: Stellar X LLC provides delivery services based on quotes provided to you through your account. Quotes are estimates and may be adjusted based on factors such as delivery distance, weight, special handling requirements, or additional services (e.g., expedited delivery).

2.2 Quote Acceptance: By accepting a delivery quote, you authorize us to dispatch a truck and perform the delivery in accordance with the quote and these Terms.

2.3 Customer Obligations: You agree to provide accurate delivery details (e.g., pickup and drop-off locations, load specifications) and ensure that the delivery site is accessible. You are responsible for any additional costs incurred due to inaccurate information or site inaccessibility (e.g., failed delivery attempts).


3. Payment Terms

3.1 Payment Methods: You may provide a credit/debit card or ACH bank transfer details as your payment method. All payment information is securely processed and tokenized by our PCI-compliant payment processor. We do not store full credit card numbers or bank account details on our servers.

3.2 Pre-Authorization: Upon accepting a delivery quote, you authorize us to pre-authorize your payment method for the quoted amount once our truck is dispatched. See the “Payment Pre-Authorization and Dispatch Terms Acceptance” section below for details.

3.3 Final Charges: The final charge for the delivery will be processed upon completion of the service. If the final amount differs from the quoted amount (e.g., due to additional services or adjustments), we will notify you before finalizing the charge.

3.4 Payment Disputes: If you dispute a charge, contact us at [support email/phone] within 7 days of the charge. We will work with you to resolve the issue promptly. You agree to pay all undisputed amounts by the due date.

3.5 Late Payments: If a payment fails or is not completed, we reserve the right to suspend your account or withhold services until payment is received. You may be responsible for additional fees, such as collection costs, for overdue payments.


4. Cancellations and Refunds

4.1 Cancellations: You may cancel a delivery request before a truck is dispatched by contacting us at contact@stellarxlogistics.com (562) 783-5527. If a truck has been dispatched, cancellation fees may apply, as outlined in the delivery quote.

4.2 Refunds: Refunds for canceled or incomplete deliveries will be processed in accordance with our refund policy, available upon request. Pre-authorized holds will be released within 3–7 business days, depending on your bank or card issuer’s policies.
 

5. Data Protection and Privacy

5.1 Data Collection: We collect personal and payment information (e.g., name, email, phone, billing address, payment method details) to provide our services. Our Privacy Policy explains how we collect, use, store, and protect your data.

5.2 Compliance: We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) for EU residents and the California Consumer Privacy Act (CCPA) for California residents. You have the right to access, update, or request deletion of your personal information by contacting us at contact@stellarxlogistics.com .

5.3 Security: We use industry-standard security measures, including HTTPS encryption and tokenization through our payment processor, to protect your data. However, no system is completely secure, and you acknowledge the inherent risks of providing information online.


6. Limitation of Liability

6.1 Service Limitations: We strive to provide reliable and timely delivery services but are not liable for delays or damages caused by factors beyond our control, such as weather, road conditions, or inaccurate delivery information provided by you.

6.2 Liability Cap: To the extent permitted by law, our liability for any claim arising from these Terms or our services is limited to the amount paid for the specific delivery service in question.

6.3 Indemnification: You agree to indemnify and hold Stellar X LLC, its affiliates, and employees harmless from any claims, losses, or damages arising from your use of our services or breach of these Terms.


7. Termination

7.1 Account Termination: You may terminate your account at any time by contacting us at contact@stellarxlogistics.com . We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity.

7.2 Effect of Termination: Upon termination, any outstanding payments remain due, and you will no longer have access to your account or our services.


8. Governing Law and Dispute Resolution

8.1 Governing Law: These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

8.2 Dispute Resolution: Any disputes arising from these Terms or our services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in West Palm Beach, FL, in accordance with the rules of the American Arbitration Association.

9. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. We will notify you of material changes via email or through your account. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

Payment Pre-Authorization and Dispatch Terms Acceptance

By providing your payment information and accepting a delivery quote with Stellar X LLC, you agree to the following Payment Pre-Authorization and Dispatch Terms (“Pre-Authorization Terms”). These terms govern the pre-authorization of your payment method and the dispatching of a truck for your delivery.

1. Pre-Authorization Process

1.1 Purpose: To ensure a seamless delivery process, we require pre-authorization of your payment method (credit/debit card or ACH bank transfer) for the quoted delivery amount before dispatching a truck.

1.2 How It Works:

  • When you request a delivery quote through your account, we will provide an estimated cost based on the delivery details (e.g., distance, load, special requirements).

  • Upon your acceptance of the quote, and upon dispatching our truck, we will pre-authorize your payment method for the quoted amount. This is a temporary hold placed by your bank or card issuer to verify that the payment method is valid and has sufficient funds.

  • The pre-authorized amount is not immediately charged to your account. The final charge will be processed only upon completion of the delivery, adjusted for any additional services or changes agreed upon during the delivery process.

1.3 Release of Holds: If the delivery is canceled before completion or the quoted amount is adjusted, the pre-authorized hold will be released. Release times vary by bank or card issuer, typically within 3–7 business days. We are not responsible for delays in hold releases caused by your financial institution.

1.4 Authorization: By providing your payment information and accepting a delivery quote, you explicitly authorize Stellar X, LLC to pre-authorize your payment method for the quoted amount and to charge the final amount upon delivery completion.
 
2. Payment Method Requirements

2.1 Supported Methods: You may provide a credit/debit card or ACH bank transfer details. All payment information is securely processed by our PCI-compliant payment processor (Wave Payments) and tokenized to protect your data.

2.2 ACH Authorization: For ACH bank transfers, you authorize Stellar X, LLC to electronically debit your bank account for the quoted delivery amount, in accordance with NACHA rules. You agree to maintain sufficient funds in your account to cover the pre-authorized amount.

2.3 Failed Pre-Authorizations: If a pre-authorization attempt fails (e.g., due to insufficient funds or an invalid payment method), we will notify you and may delay dispatching a truck until a valid payment method is provided.

3. Final Charges

3.1 Adjustments: The final charge may differ from the quoted amount if additional services (e.g., expedited delivery, special handling) are requested or if delivery details change (e.g., additional pallets). We will notify you of any adjustments before finalizing the charge.

3.2 Completion of Charge: The final charge will be processed upon successful delivery of your pallets. You will receive a receipt detailing the charges through your account or via email.

3.3 Disputes: If you believe a charge is incorrect, contact us at contact@stellarxlogistics.com within 7 days of the charge. We will investigate and resolve the issue promptly.

4. Customer Responsibilities

4.1 Accurate Information: You agree to provide accurate payment information and ensure sufficient funds are available for pre-authorization and final charges.

4.2 Delivery Details: You are responsible for providing accurate delivery information (e.g., pickup and drop-off locations, load specifications). Inaccurate information may result in additional fees or delays, which will be reflected in the final charge.

4.3 Accessibility: You must ensure that the delivery site is accessible to our trucks. Failed delivery attempts due to inaccessibility may incur additional fees, which will be pre-authorized and charged as part of the final amount.

5. Cancellations and Refunds

5.1 Cancellations: You may cancel a delivery before a truck is dispatched by contacting us at contact@stellarxlogistics.com . If a truck has been dispatched, cancellation fees may apply.
 
5.2 Refunds: If a delivery is canceled or not completed, any pre-authorized hold will be released, and any charges processed will be refunded in accordance with our refund policy. Refunds may take 5–10 business days to process, depending on your payment method and financial institution.

6. Security and Compliance

6.1 Data Security: Your payment information is securely handled by our PCI-compliant payment processor. We do not store full credit card numbers or bank account details on our servers. All transactions are encrypted using HTTPS.

6.2 ACH Compliance: For ACH payments, we comply with NACHA rules, including obtaining your explicit authorization for debits and maintaining secure processing practices.

6.3 Privacy: Your payment and personal information are protected in accordance with our Privacy Policy and applicable data protection laws (e.g., GDPR, CCPA).
